A Limited Liability Company (LLC) is one of the most common legal forms for establishing a business in Syria, due to its legal flexibility and protection of partners from financial liabilities. In this article, we highlight the most important conditions and requirements for establishing a Limited Liability Company in Syria, according to the laws and regulations in force at the Ministry of Internal Trade and Consumer Protection.
A company composed of two or more partners. The partners bear no liability for the company's debts and obligations other than to the extent of their capital shares, providing them with legal protection from financial consequences.
1. Number of Partners
A company may consist of between two and a maximum of fifty partners.
2. Capital
The minimum capital is 50 million Syrian pounds.
The capital is divided into equal shares, each of which is not less than 1,000 Syrian pounds.
The capital must be deposited in a bank account in the name of the company being established.
3. Commercial Register
The company must be registered in the commercial register of the governorate in which the company's headquarters is located. A professional license is required if the activity requires it (such as medical, educational, engineering, etc.).
4. Legal Address
The company's official headquarters must be established (commercial property or a flexible office).
Proof of address is provided by a duly certified lease contract or title deed.
5. Company Purpose
The purpose must be clearly defined in the articles of association (such as trade, industry, services, etc.).
6. Registering with the Chamber of Commerce and registering employees with social insurance
A signed incorporation application from the partners or their representatives.
The company's articles of association (drafted by a lawyer or specialized firm).
A copy of the partners' IDs.
A document confirming the address.
A bank receipt for the capital deposit.
A copy of the legal powers of attorney if the incorporation is through an agent.
Partners' liability is limited to the amount of their shares.
Flexibility in adding or withdrawing partners.
